Terms & Conditions
Nyle Design
Effective date: [date]
These Terms & Conditions (“Terms”) apply to all photography and video services booked with Nyle Design (the “Photographer,” “we,” or “us”). By booking a service, making a payment, or otherwise using our services, you (the “Client”) agree to these Terms, the selected service package and pricing, and any add-ons purchased at booking.
1. Scope of Services
We provide the photography and/or video services included in the package you select, at the agreed location, date, and time. The specific package, on-site time, number of photographs, video content, delivery timeframe, and any purchased add-ons are as stated in your booking confirmation. We use reasonable professional judgment in determining coverage, composition, image selection, editing, and final presentation. Services, additional time, photographs, video, or site visits beyond the selected package are not included and require an additional fee agreed by you and us.
2. Booking, Acceptance & Payment
A deposit, where applicable, is required to secure your booking and is applied toward the total fee. The remaining balance, including any add-ons purchased for the same booking, is due before final unwatermarked files are released. Payment may be made using the payment methods provided by Nyle Design. Watermarked previews may be provided before the balance is paid, but final unwatermarked, high-resolution files are released only once all amounts owing for the booking have been paid in full. If the balance is unpaid 30 days after the preview is delivered, the deposit is forfeited and no final files will be released. These Terms apply to your current booking and to any future bookings with Nyle Design unless we publish updated Terms, in which case the updated Terms apply going forward.
3. Payment Processing & Privacy
Card and online payments are processed by Square, a third-party payment service provider. When you pay through Square, your payment information (such as card details, billing information, and transaction data) is collected and processed directly by Square and is governed by Square’s own terms and privacy policy, which you can review at [Square’s privacy policy]. Nyle Design does not receive or store your full payment card details. We receive only the information needed to confirm and manage your booking, such as your name, contact details, payment amount, payment status, and transaction reference. We use this information only to provide our services, process payments and refunds, keep business and tax records, and communicate with you about your booking. We do not sell your personal information. Because Square is a third party, we are not responsible for its handling of your information or for its systems. By making a payment, you acknowledge that Square may collect, use, and disclose your information as described in its privacy policy. Questions about how we handle your personal information can be sent to [your email].
4. Delivery & Revisions
We will provide a watermarked preview within the delivery timeframe stated in your selected service package. Once payment is received in full, final unwatermarked files will be delivered electronically using the delivery method we select. You are responsible for downloading and storing delivered files, as delivery links may not remain accessible indefinitely. We will make reasonable efforts to accommodate minor correction requests at no charge; substantially different edits, additional images, additional video, or new creative work may be subject to an additional fee.
5. Cancellation, Rescheduling & Circumstances Beyond Our Control
You may cancel or reschedule with at least 24 hours’ notice, in which case the deposit may be refunded or transferred to one future booking. Additional reschedule requests are subject to availability and may incur a rebooking fee. Cancellations made less than 24 hours before the scheduled appointment, no-shows, or failure to provide reasonable site access will result in the deposit being forfeited.
If weather, site conditions, safety concerns, lack of access, illness, equipment failure, or another circumstance beyond either party’s reasonable control prevents the shoot from reasonably proceeding, we will make reasonable efforts to reschedule once at no additional charge. If the booking cannot reasonably be rescheduled, amounts paid for services not provided will be refunded. We are not responsible for indirect or consequential losses, including lost business, missed marketing opportunities, or project delays.
6. Site Access & Safety
You are responsible for providing safe and authorized access to the site and for advising us in advance of known hazards, required personal protective equipment, and applicable site safety requirements. We may decline or stop photography where, in our reasonable judgment, conditions present an unsafe or unreasonable risk. We are not responsible for delays, reduced coverage, or incomplete services caused by unsafe conditions, denied or delayed access, or information not provided by you.
7. Copyright & Usage Rights
Under the Copyright Act (Canada), the Photographer retains copyright ownership of all photographs and video created under these Terms. Upon payment in full, you receive a non-exclusive, perpetual license to use the delivered photographs and video for your own business marketing and promotional purposes relating to the photographed project, including websites, social media, advertising, listings, and proposals. You may not sell, sublicense, transfer, or commercially license the photographs or video as standalone visual assets without our written permission. We may use delivered photographs and video for our own portfolio, website, and marketing purposes unless you request in writing before the shoot that the project not be used for such purposes.
8. Limitation of Liability
To the extent permitted by law, our total liability arising from the services will not exceed the total amount actually paid by you for the specific services giving rise to the claim. We are not liable for indirect, incidental, special, or consequential losses, including lost profits or lost business opportunities. Nothing in these Terms limits any liability or right that cannot legally be limited or excluded.
9. General
These Terms are governed by the laws of Ontario and the applicable federal laws of Canada. Your booking confirmation, selected service package, pricing, purchased add-ons, and these Terms together form the entire agreement between you and Nyle Design for the services booked. Any agreed change to the services or pricing may be confirmed in writing, including by email. If any provision is found unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
10. Governing Law
These Terms and Conditions are governed by the laws of the Province of Ontario and the laws of Canada applicable therein.
11. Contact Information
Our services are for property owners and businesses. We do not knowingly collect personal information from anyone under 16. If you believe a child has sent us information, contact us and we will delete it.
12. Changes to this policy
If we change this policy we will update the βLast updatedβ date at the top. If a change materially affects how we handle your information, we will say so prominently on this page.
